Acceptance of Terms

By accessing or using Dataverse Projects ('the Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Dataverse Projects. Your use of the Service signifies your acceptance of these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

Dataverse Projects provides a B2B SaaS platform that enables project-based businesses to generate project-level Profit & Loss (P&L) reports by synchronizing data from accounting software such as Xero, QuickBooks, and MYOB.

The Service includes features such as workspace management, OAuth integration with accounting platforms, automated data synchronization, project profitability calculation, and reporting capabilities.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

The Service is provided 'as is' and we make no guarantees about uptime, availability, or performance, although we strive to maintain high service quality.

User Accounts and Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Each user account is intended for individual use. You may not share your account credentials with others or allow others to access your account.

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent that you meet this age requirement.

We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion without prior notice.

User Responsibilities and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.

You agree not to: (a) use the Service in any way that violates applicable laws or regulations; (b) attempt to gain unauthorized access to the Service or related systems; (c) interfere with or disrupt the Service or servers; (d) transmit viruses, malware, or other harmful code.

You agree not to: (a) use the Service to transmit spam, advertising, or promotional materials; (b) impersonate any person or entity; (c) harvest or collect information about other users; (d) use automated systems or software to extract data from the Service ('scraping').

You are responsible for ensuring that you have the necessary rights and permissions to connect your accounting software to the Service and to sync data.

You agree to comply with the terms of service of any third-party accounting software (Xero, QuickBooks, MYOB) that you connect to the Service.

Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Dataverse Projects, its licensors, or other providers of such material.

These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

You may not: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Service; (b) reverse engineer, decompile, or disassemble any portion of the Service.

All trademarks, service marks, logos, and trade names displayed on the Service are the property of their respective owners. Use of these marks without permission is strictly prohibited.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal data.

You retain all rights to your data, including accounting data synced from third-party platforms. We do not claim ownership of your data.

By using the Service, you grant us a limited license to access, store, and process your data solely for the purpose of providing the Service to you.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from individuals whose data you process through the Service.

We implement industry-standard security measures to protect your data, as detailed in our Privacy Policy. However, no system is completely secure, and we cannot guarantee absolute security.

Payment Terms and Billing

The Service is currently offered during a beta or early access period. Pricing and payment terms will be communicated to you before any charges are applied.

When payment features are activated, you agree to pay all fees associated with your use of the Service according to the pricing plan you select.

All fees are non-refundable except as required by law or as explicitly stated in these Terms or our refund policy.

We reserve the right to change our pricing at any time. If we change pricing for your subscription, we will provide you with advance notice before the change takes effect.

If you fail to pay any fees when due, we may suspend or terminate your access to the Service until payment is received.

You are responsible for paying any applicable taxes associated with your use of the Service, excluding taxes based on our net income.

Third-Party Integrations and APIs

The Service integrates with third-party accounting platforms (Xero, QuickBooks, MYOB) via their official APIs. Your use of these integrations is subject to the terms and conditions of those third-party platforms.

We are not responsible for any changes, interruptions, or discontinuation of third-party APIs or services that may affect the functionality of our Service.

You acknowledge that data synchronization is dependent on the availability and performance of third-party APIs, and we cannot guarantee real-time accuracy or completeness of synced data.

You are responsible for maintaining valid OAuth connections and permissions with third-party platforms. We will notify you if re-authentication is required.

We respect the rate limits and usage policies of third-party APIs and may implement delays or throttling to comply with these requirements.

Termination and Suspension

You may terminate your account at any time by following the instructions in your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, effective immediately.

Grounds for termination include, but are not limited to: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) non-payment of fees; (d) prolonged inactivity.

Upon termination, we may delete your account and all associated data within 90 days, unless we are required to retain it for legal or regulatory purposes. You should export any data you wish to retain before terminating your account.

Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Warranties

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT: (a) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR ERROR-FREE; (b) DEFECTS WILL BE CORRECTED; (c) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (d) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA, CONTENT, OR REPORTS GENERATED BY THE SERVICE. YOU ARE RESPONSIBLE FOR VERIFYING ALL INFORMATION BEFORE MAKING BUSINESS DECISIONS.

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. WE DO NOT PROVIDE FINANCIAL, ACCOUNTING, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING DECISIONS BASED ON DATA FROM THE SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DATAVERSE PROJECTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (b) $100 USD.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

You acknowledge that the fees we charge reflect this allocation of risk and that we would not provide the Service without these limitations.

Indemnification

You agree to defend, indemnify, and hold harmless Dataverse Projects, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Your violation of these Terms; (b) Your use or misuse of the Service; (c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) Any claim that your use of the Service caused damage to a third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

Dispute Resolution and Governing Law

These Terms and any dispute arising from or relating to the Service shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@dataverse.one. We will attempt to resolve the dispute informally by contacting you via email.

If the dispute is not resolved within 60 days of submission, either party may initiate formal proceedings.

You agree that any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the courts located in [Your Jurisdiction], and you consent to the personal jurisdiction of such courts.

You agree to waive any right to a jury trial in any proceeding arising out of or relating to these Terms or the Service.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the 'Last Updated' date at the top of this page.

For material changes, we will provide you with notice by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

We encourage you to review these Terms periodically to stay informed of any updates.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dataverse Projects regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We will not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
